Vaultavo Connects Identity and Transaction Authority in Institutional Custody

The company has launched a SAFE offering through Deal Box to support production readiness for its biometric, hardware and governance platform.

A digital signature can show that a transaction was signed using a particular private key. For a financial institution, the questions extend further: who approved the transaction, what authority did that person hold, and were the required controls followed?

Those questions become practical when several people share responsibility for assets. An institution needs to establish who can initiate a transfer, which approvals are required and how to trace a decision afterwards. Protecting cryptographic keys is one part of that responsibility; connecting their use to an authorised person and an approval process is another.

Vaultavo Inc., a Delaware technology company developing institutional digital asset custody infrastructure, is building its Identity-Bound Custody™ platform around that connection. Its architecture combines biometric authentication, hardware protection of cryptographic keys and institutional governance workflows, designed to tie each authorisation to an enrolled and authenticated individual.

Connecting identity to custody controls

The platform brings together three layers. A biometric smart card authenticates authorised users through secure hardware, incorporating a secure-element component certified to Common Criteria EAL6+. Segregated hardware security module vault infrastructure protects keys on a per-client basis. A governance platform enables institutions to establish policies, approval workflows and auditable transaction controls.

The distinction matters for banks, custodians, stablecoin issuers and tokenisation platforms that need to account for how assets are managed. A custody process must support both protection of the keys and a clear record of the permissions and approvals governing their use.

Vaultavo says its architecture is designed to support different institutional custody models without requiring users to manage seed phrases or exposing unprotected private keys.

“Institutional custody requires a clear record of who authorized a transaction and the controls governing that decision,” said Philip Meyer, Founder, Chief Executive Officer and Chairman of Vaultavo. “Vaultavo brings identity, hardware security and governance together to address that requirement. This financing is intended to support our transition into production and the development of our institutional pipeline.”

Financing the transition toward production

On 15 October 2026, Vaultavo announced the launch of its SAFE offering through Deal Box. The company is pre-revenue, and the financing is intended to support production readiness, institutional business development and ongoing operations.

Development milestones described in the announcement include receipt of the first field-ready biometric smart cards in April 2025 and three pending United States patent applications. On 2 September 2026, the United States Patent and Trademark Office issued a Notice of Allowance for one application, allowing 20 claims relating to digital custody and digital custody transactions. At the time of the announcement, that application was proceeding toward issuance, subject to customary formalities.

The company has also entered into memoranda of understanding and letters of intent relating to proof-of-concept deployments, including arrangements with Brickken and Altify. These are prospective deployments rather than completed production implementations.

Deal Box provides offering presentation, investor onboarding, investor relationship management and secure data rooms. Vaultavo’s offering is structured under Rule 506(c) of Regulation D for verified accredited United States investors and concurrently under Regulation S for eligible non-US investors in offshore transactions.

Vaultavo’s approach places a specific question at the centre of institutional custody: can the organisation demonstrate who authorised a transaction and the controls that governed that decision? Its next stage is intended to move that architecture toward production and prospective institutional deployments.
